Samuel M. D. Licker

Sam Licker is a transactional attorney and problem solver, handling a wide array of deals and matters, including private mergers and acquisitions in a variant of industry sectors (including insurance, entertainment, technology, and digital media, to name a few), venture capital and emerging company fundraising transactions, corporate governance and maintenance, public securities work involving SEC compliance and reporting, and insurance regulatory counseling.

In his capacity as a deal lawyer, Sam spearheads transactions from term sheet through Closing, including supervising diligence, drafting operative and ancillary documents, and handling negotiations. Sam also acts as outside general counsel to startups and mature companies alike, providing legal advice and direction to entrepreneurs. In such capacity, Sam is frequently leaned upon for advice and counsel in connection with entity formation, including for professional corporations, and keeps his clients up to date on a range of topics from general corporate compliance to crypto and blockchain.

Before his legal career, Sam worked in the legal affairs division at Multicom Entertainment Group, and independent distribution company with a focus on the global television market and digital media platforms. During his time at Notre Dame Law School, Sam participated in NDLS’s London Law Program, where he studied international tax and environmental law and assisted asylum seekers with the Islington Law Centre.
