Derek Dundas has joined the firm as the Chair of its National Corporate Practice. Derek is a seasoned corporate attorney who provides practical and strategic advice to enable clients to achieve their business goals while minimizing legal risks. Derek advises clients on complex corporate matters such as mergers and acquisitions and capital market transactions. Derek’s transactional work includes public and private company mergers and acquisitions, corporate formations and restructurings, leveraged buyouts and joint ventures. He also represents issuers and investment banks in public and private debt and equity offerings. Clients also seek Derek’s advice on corporate governance matters, public company disclosure obligations and general corporate structuring and operational matters. Derek is experienced across industry sectors, including technology, financial services, automotive, manufacturing, consumer products, medical devices and travel and leisure. Derek began his career at Latham & Watkins where he spent over a decade in the firm’s corporate department. Subsequently Derek served as a partner at Rutan & Tucker and Troutman Pepper prior to joining the Raines Feldman team. Gianluigi Esposito’s practice concentrates in mid-market mergers and acquisitions, joint ventures, and other corporate matters. Gianluigi regularly acts as outside general counsel to US subsidiaries of Italian and European companies or US portfolio companies of foreign private equity firms. Gianluigi founded the New York office of Chiomenti Studio Legale, one of Italy’s premier corporate law firms, in collaboration with Skadden, Arps, Slate, Meagher & Flom LLP, Chiomenti’s alliance partner at that time. Michael is a general business and corporate lawyer. Mike’s general business practice involves his provision of general corporate and business advice to a wide array of clients, including large corporations, chefs and restaurant operators as well as several celebrities, actors and athletes. Prior to joining Raines Feldman, Mike was a founding partner at Gould & Gould LLP and was a Partner at both GTC Law Group LLP and Rosenfeld, Wolff & Klein in Century City, California.
