Gianluigi Esposito’s practice concentrates in mid-market mergers and acquisitions, joint ventures, and other corporate matters. Gianluigi regularly acts as outside general counsel to US subsidiaries of Italian and European companies or US portfolio companies of foreign private equity firms.

His extensive experience includes a variety of transactional and commercial matters including business formation, start-up funding, corporate governance, shareholder agreements, licenses, and distribution agreements. Gianluigi also advises US funds, investors and companies about transactions and doing business in Italy.

He has represented clients in numerous industries including fashion, food, hospitality, automotive, architecture, urban planning, construction, real estate, life sciences, manufacturing, technology, education and not-for-profit.

Gianluigi graduated from the University of Bologna, Italy, School of Law, in 1991, Diploma di Laurea in Giurisprudenza (J.D. Equivalent). He earned his LL.M. degree in Common Law Studies, at Georgetown University Law Center, 1995 (Fulbright Scholar).

In 2003 Gianluigi founded the New York office of Chiomenti Studio Legale, one of Italy’s premier corporate law firms, in collaboration with Skadden, Arps, Slate, Meagher & Flom LLP, Chiomenti’s alliance partner at that time.

In 2013 he received the Fulbright Award for Global Business Diplomacy. He previously served on the Fashion Law Committee of the New York City Bar and on the Board of Directors of the Italy-America Chamber of Commerce of New York.

Gianluigi is a member of Georgetown University European Law Alumni Advisory Board and the President of the US Alumni Association of the University of Bologna, Italy.

Gianluigi was admitted to the Italian Bar in 1995, and he has been a member of the New York Bar since 2000. He is also a member of the New York City Bar Association and of the New York State Bar Association. He is a native Italian speaker and speaks French and Spanish, in addition to English.
